Game Publishing Agreement
1. Purpose
This agreement sets out the terms under which CyberSec Games will publish and retail the Creator’s game, providing production guidance and sales support, while the Creator retains ownership of the game's intellectual property.
2. Ownership
- The Creator retains full and exclusive ownership of the game’s intellectual property, including rules, design, text, illustrations, and branding.
- This agreement grants CyberSec Games a limited licence to produce, sell, and promote the game under the terms outlined below.
3. Grant of Rights
- The Creator grants CyberSec Games the exclusive right to manufacture (or supervise manufacturing), sell, and distribute the game through its own platform and agreed partner channels.
- This right is limited to a period of 3 years from the date of the first publication of the game.
- This licence is non-transferable and non-sub-licensable without written consent from the Creator.
4. Royalties
- The Creator will receive 20% of the retail price from all sales of the game, before any taxes and shipping.
- Payments will be made quarterly, along with a sales statement.
- No royalties will be paid on demo copies or prototypes used for promotional purposes.
5. Creator Responsibilities
The Creator agrees to:
- Supply the full and final game content including rules, card text, player aids, etc.
- Provide or commission all required visual design and artwork in accordance with production guidelines supplied by CyberSec Games.
- Deliver all materials in production-ready formats in an agreed timeframe.
- Be available to respond to reasonable editorial or gameplay feedback during prototyping.
- Be available to promote the product in partnership with CyberSec Games.
6. CyberSec Games Responsibilities
CyberSec Games agrees to:
- Provide advice and templates to help prepare the game for production.
- Produce a prototype based on submitted materials.
- Handle the publication, listing, order fulfilment, and customer support via its platform.
- Promote the game through appropriate channels.
7. Term and Termination
- This agreement lasts for 3 years from the initial publication date.
- Either party may terminate the agreement with 90 days’ written notice at any time after the first 12 months.
- If terminated:
- CyberSec Games will cease to sell or promote the game.
- Any remaining inventory may be sold off, with royalties paid as normal.
- The Creator is free to republish, self-publish, or license the game elsewhere.
8. Warranties and Assurances
- The Creator warrants that:
- The game is their original work.
- All provided content is free of third-party claims or copyright infringement.
- They have the right to enter into this agreement.
- CyberSec Games warrants that:
- It will act in good faith to promote and sell the game.
- It will handle royalties and creator credit transparently and accurately.
9. Miscellaneous
- This agreement is governed by the laws of England and Wales.
- Any disputes shall first be addressed through mediation before further legal steps are taken.
- Amendments must be made in writing and signed by both parties.
